These Terms and your use of the Platform are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Nothing in this section limits any mandatory consumer-protection, privacy, or other statutory rights that apply to you.
We encourage you to contact us first so that we can attempt to resolve disputes informally. If you have a complaint or dispute concerning the Platform, please contact us using the information in the "Contact Us" section below and describe the issue and the resolution you are seeking. Where appropriate, we may attempt to resolve the matter informally before either party begins formal proceedings. Nothing in this section prevents either party from seeking urgent or injunctive relief where appropriate, from bringing a claim that applicable law permits to be brought before a court, or from exercising a statutory right that cannot lawfully be waived. Any dispute that is not resolved informally may be brought before a court of competent jurisdiction in Ontario, subject to any mandatory jurisdictional or consumer-protection rules that apply. Where applicable law permits the parties to agree to arbitration after a dispute has arisen, the parties may mutually agree in writing to submit that particular dispute to arbitration. Nothing in these Terms requires a consumer to arbitrate a dispute where applicable law gives the consumer a right to bring the dispute before a court. Nothing in these Terms prevents a consumer from exercising a right to participate in a class proceeding where such right cannot lawfully be waived.
Subject to applicable law, and where a court proceeding is properly brought in Ontario, the parties agree that the courts of Ontario will have jurisdiction over disputes arising from or relating to these Terms or the Platform. Where permitted by applicable law, the parties agree that proceedings may be brought in the courts located in Hamilton, Ontario. Nothing in this section prevents a court from determining that another jurisdiction is required or appropriate under applicable law.
No contractual limitation period is established by these Terms. Any limitation period applicable to a claim will be determined under applicable law, subject to any lawful agreement concerning limitation periods that may be separately entered into between the parties where permitted.
Nothing in these Terms is intended to waive, exclude, restrict, or limit any consumer, privacy, accessibility, employment, human-rights, copyright, or other statutory right or remedy that cannot lawfully be waived, excluded, restricted, or limited. If applicable law provides you with rights or remedies that are inconsistent with these Terms, those rights and remedies will prevail to the extent required by law.
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect. If a provision cannot lawfully be enforced, it will be severed only to the extent necessary.
These Terms, together with the Privacy Policy and any other policies or agreements expressly incorporated into these Terms, constitute the entire agreement between you and Fievana concerning your use of the Platform, except where a separate written agreement applies. If you have entered into a separate written agreement with Fievana concerning a particular service, that agreement will govern to the extent of any conflict with these Terms.
These Terms do not create a partnership, joint venture, employment relationship, fiduciary relationship, franchise relationship, or agency relationship between you and Fievana. Neither party has authority to bind the other except as expressly provided.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise. Fievana may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, or other corporate transaction, or to an affiliate or successor, subject to applicable law.
Provisions that by their nature should survive termination of these Terms will survive termination, including provisions concerning intellectual property, User Content, Feedback, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and other provisions that are intended to survive.
